Case Study: Complete Indonesia KPPA Registration in 2 Months | Key Notes to Avoid Pitfalls

Recently, CHYIELD successfully assisted a Singaporean gaming company, ABC Pte Limited, in completing its Indonesia KPPA (Representative Office) registration. 


The entire project took approximately two months from initiation to full certification. This practical case involves many detailed and noteworthy execution points, which we share as a reliable reference for enterprises planning to enter the Indonesian market.


Client Background & Requirements


The client is a Singapore-based company specializing in computer game development and operation. To explore the Indonesian market, the company planned to establish an Indonesian representative office for core purposes including market research and business liaison, without conducting direct sales activities in the short term. 


The appointed Chief Representative is a Chinese national, Mr. Li.


The company chose a KPPA instead of directly registering a PT PMA foreign investment company for strategic reasons. 


While Indonesia’s gaming industry boasts huge growth potential, local regulatory policies and user consumption habits still require in-depth exploration. A KPPA serves as a low-risk market trial solution, allowing the brand to verify market feasibility before upgrading to a formal operational entity.

2. Original Letter of Intent (LoI), Letter of Appointment (LoA), and Letter of Statement (LoS). All documents are professionally drafted by CHYIELD. They require notarization by a local notary public in the applicant’s home country, followed by Indonesian Embassy authentication or Hague Apostille certification. CHYIELD provides full assistance for the entire authentication process.


4. Official reference letter issued by the Embassy of the Republic of Indonesia in the applicant’s home country. CHYIELD offers professional support for reference letter application.


5. Valid identity documents of the Chief Representative: a clear color passport scan for foreign nationals; KTP (Indonesian ID) and NPWP (tax ID) copies for Indonesian citizens.


6. Red-background passport-sized photos of the Chief Representative, plus a clear photo of the Chief Representative holding their passport with the biodata page fully visible.


7. Scanned copy of the Chief Representative’s CV.

Full KPPA Registration Process (2-Months Overall Timeline)


Step 1: Complete Document Preparation

This case involved a special cross-border scenario: the parent company is registered in Singapore, while the Chief Representative is a Chinese national. This dual-jurisdiction condition required document preparation and validation across two countries, making coordination more complex than standard single-country applications.


Step 2: Hague Apostille Certification

All core corporate legal documents required notarization by a Singaporean notary public, followed by official Hague Apostille certification. CHYIELD assisted the client throughout the entire cross-border document submission and certification procedure. Sufficient time reservation is essential for international document delivery and review.


Step 3: Apply for Official Embassy Reference Letter

Due to the parent company’s Singaporean registration, the reference letter application was submitted to the Indonesian Investment Promotion Centre (IIPC) in Singapore, rather than the Indonesian Embassy in China.

In addition to standard corporate documents, the application requires an official Bank Reference Letter issued by the Singapore-based parent company’s bank. CHYIELD provides standard templates for clients to facilitate smooth application.


Step 4: Submit Official Registration & Await BKPM Approval

After all documents were fully prepared and certified, CHYIELD submitted the complete application package to BKPM via the official Indonesian OSS single-submission system. Upon successful review, the representative office obtained official legal establishment status.


Step 5: Apply for NPWP Tax ID

The final step is tax registration. After obtaining the NIB business certificate, we submitted an application to the local Indonesian tax authority for the official NPWP tax ID, which takes approximately one month to complete. With this step finalized, the entire KPPA registration procedure is fully completed.


Critical Registration Compliance Notes


1. For Singaporean parent companies, the KPPA reference letter must be applied through the Indonesian Investment Promotion Centre (IIPC) in Singapore, with a mandatory Bank Reference Letter from the parent company’s Singapore bank. CHYIELD provides professional templates and application guidance.


2. KPPA is a multi-industry foreign representative office structure permitted for market research, investment coordination and business liaison. It is strictly prohibited from all profit-making commercial activities, including bidding, contract signing, product sales, and claim settlement.


3. KPPA offices can only be registered and established in provincial capital cities across Indonesia.


4. All foreign Chief Representatives must hold a valid work permit and KITAS (limited stay permit) for legal residence and employment in Indonesia.


5. The official name of the Indonesian KPPA shall be identical to the full registered name of its parent company, as displayed on the NIB certificate and NPWP tax card.


6. Post-registration compliance is mandatory. KPPAs need regular bookkeeping and tax filing for daily operational expenditures, as well as semi-annual LKPM investment reporting.
