Company Type
Sweden offers a variety of corporate structures for enterprises to choose from, each with unique characteristics and applicable scenarios. The common company types include: Limited Liability Company (Aktiebolag, AB), Sole Shareholder Limited Company (Enskilt Aktiebolag, EAB), Limited Partnership (Kommanditbolag, KB) and General Partnership (Enkelt Bolag, EB).

Company Name
When registering a company in Sweden, you need to select a suitable corporate name. Generally speaking, the company name should contain Swedish-related elements, such as words indicating Sweden or Swedish limited company. Meanwhile, the name must comply with Swedish legal requirements; it shall not infringe upon third-party rights or violate relevant regulations.

Registered Capital
For a limited liability company (AB), the minimum share capital is SEK 25,000, which must be deposited into a bank account within the EEA prior to company incorporation.

Shareholders and Directors
Shareholders may consist of one or more natural persons or legal entities without nationality restrictions.
A minimum of two directors is required with no nationality limits: one Managing Director and one Deputy Director. The Managing Director acts as the legal representative of the company, while the Deputy Director shall take over administrative duties when the Managing Director is unable to perform their functions. At least one of the two directors must be an EEA resident.

Business Scope
There are few restrictions on business scopes when registering a company in Sweden. Enterprises may independently select business activities based on market demands and their own strengths.

Private Limited Company (AB)
Minimum Share Capital Requirement: The minimum share capital for a private limited company is SEK 25,000 (approximately USD 2,500).
Shareholders and Directors: A minimum of one shareholder (natural person or legal entity) and one director is required. Shareholders may be foreign nationals and are not required to reside in Sweden.
Registration Process: A registration application, including the articles of association, share capital certificate and list of board members, must be submitted to the Swedish Companies Registration Office (Bolagsverket).
Financial Reporting: Regular financial statements shall be prepared and filed.
Taxation: A corporate tax ID must be registered for corporate tax payment; VAT registration is required where applicable.

Public Limited Company (Publikt Aktiebolag, PAB)
Minimum Share Capital Requirement: The minimum share capital for a public limited company is SEK 50,000.
Features: Suitable for larger enterprises and eligible for stock market listing.
Other Requirements: Similar to private limited companies, yet subject to stricter supervision and public disclosure obligations.

Sole Owner Company (EAB)
Ownership: Owned and operated by a single natural person.
Applicability: Suitable for small businesses or sole proprietorships.
Financial Liability: The owner bears unlimited liability for the company’s debts.
Taxation: Business income is taxed as personal income tax.

Limited Partnership (KB / Kommanditbolag)
Structure: It shall consist of at least one general partner (komplementär) with unlimited liability and one limited partner (kommanditdelägare).
Liability: General partners are fully liable for all company debts, while the liability of limited partners is capped at their invested capital.

General Partnership (EB / Enkelt Bolag)
Structure: Owned and operated jointly by two or more partners.
Liability: All partners bear unlimited liability for the company’s debts.
Taxation: The entity itself is not subject to corporate tax; profits are distributed to partners and taxed under personal income tax.

Individual Shareholder
1. Clear colour scanned copies of passports of shareholders and Swedish company directors;
2. Proof of residential address (utility bills or credit card statements showing the address issued within the past three months);
3. Bank certificate: A document issued by the bank confirming that the initial share capital of a minimum of SEK 25,000 has been deposited into the Swedish bank account.

Corporate Shareholder
1. Business License and Articles of Association of the shareholder company;
2. Clear colour scanned copies of passports and residential address proofs for the legal representative of the shareholder company, directors of the Swedish company and ultimate beneficial owners (utility bills or address-bearing credit card statements issued within the latest three months);
3. Complete shareholding structure chart;
4. Bank certificate: Official document issued by the bank to confirm that the minimum initial share capital of SEK 25,000 has been deposited into the Swedish bank account.
