Company Name
Company registration can only proceed after name approval. The standard format of an Indonesian corporate name is PT ABC, where ABC stands for the client’s desired company name.

Directors and Shareholders

1. A minimum of two shareholders is required, which may be corporate entities or natural persons;

2. At least one director shall be appointed. There is no mandatory local nationality requirement for directors. Nevertheless, under Indonesian Company Law, at least one director of the company must hold an Indonesian tax identification card (NPWP).

Since both Indonesian citizens and foreign nationals with an Indonesian work permit are eligible to apply for an NPWP, you may appoint either a local resident as a director or a Chinese national holding an Indonesian work permit as a director.

One commissioner is required. The commissioner is responsible for supervising directors and may be a Chinese national.

The total registered capital is 10 billion Indonesian Rupiah (IDR), with a minimum paid‑in capital of 2.5 billion IDR. It is recommended to complete the capital contribution within six months after company registration.

Commanditaire Vennootschap(CV)

CV is a form of partnership enterprise suitable for small and medium‑sized enterprises. Its features are listed as follows:

1. Liability of partners: General partners bear unlimited liability for corporate debts, while limited partners are liable only up to the amount of their capital contributions;

2. Registration requirements: CVs are not mandatorily required to complete government registration, and a partnership agreement shall be signed upon establishment. Nevertheless, relevant permits may still need to be obtained to legally operate certain types of businesses.

Perseroan Terbatas Penanaman Modal Asing(PMA)
Companies classified as PMA permit foreign investors or foreign enterprises to act as shareholders, falling into two categories: PT PMA (allowing shareholding by foreign investors) and PT PMDN (restricting shareholding exclusively to Indonesian residents or domestic enterprises). Their characteristics are specified below:

1. Ownership structure: PT PMA allows foreign investors to hold shares, whereas PT PMDN is open only to Indonesian residents or local Indonesian companies as shareholders;

2. Scope of application: They are eligible for a wide range of commercial activities including manufacturing, sales and export. Certain regulated industries impose additional restrictions that call for special approvals and supplementary documentation.

Perseroan Terbatas(PT)
PT is the most prevalent corporate entity in Indonesia, equivalent to a Limited Liability Company (LLC) in other jurisdictions. Its characteristics are as follows:

1. Liability of shareholders: Shareholders enjoy limited liability capped at their subscribed capital; they are liable for corporate debts only to the extent of capital contributed to the company;

2. Registration requirements: A minimum of two shareholders is required, which may be natural persons or legal entities. The minimum registered capital is 500 million Indonesian Rupiah (IDR), and full paid‑in capital is not mandatory upon incorporation. The initial contribution shall account for no less than 25% of the registered capital. One local Indonesian director and one company secretary are compulsory appointments;

3. Governance structure: The management consists of the Board of Directors (BOD) and the Board of Commissioners (BOC), in charge of daily operation and supervision respectively. A PT possesses independent legal personality, operates separately from its shareholders, and enjoys proprietary rights together with corresponding legal obligations.
