Company Type
When foreign investors register a company in Bangladesh, the available corporate form is the Private Limited Company.

Directors and Shareholders

A minimum of two shareholders is required, who may be natural persons or corporate entities;

There shall be no fewer than two directors, who must be natural persons with no nationality restrictions.

Registered Capital

Authorized capital: There is no upper limit, and the common benchmark is 10 million Bangladeshi Taka.

Government fees: If the registered capital is lower than the aforesaid benchmark, government charges will still be calculated based on this benchmark.

Paid‑up capital: There is no statutory minimum requirement; however, a paid‑in amount of USD 1,000 is recommended to facilitate corporate bank account operation.

Capital injection timeframe: The paid‑up capital shall be deposited upon the incorporation of the company.

Company Name

The company name must not be identical or highly similar to that of any registered existing company.

The company name shall not contain content insulting any religion, ethnic group or national image.

The company name shall avoid any politically relevant, hate‑inciting or controversial expressions.

A local business address in Bangladesh is required to serve as the registered address.

2. Proof of address (utility bills or credit card statements bearing the address issued within the latest three months);

1. Business License and Articles of Association: The business license of the parent company and authenticated Articles of Association shall be submitted.

2. Equity Structure Chart: A chart clearly presenting shareholding ratios of shareholders and information of ultimate beneficial owners is required.

3. Identity and Address Certificates of Relevant Personnel: Scanned passport copies of the legal representative of the shareholder company, directors of the Bangladeshi company and ultimate beneficial owners shall be provided, together with utility bills or address‑indicated credit card statements issued within the latest three months as address proof.
