Company Name

The company name shall be submitted to the Ministry of Commerce for approval to confirm that it is not already registered and does not contain inappropriate contents.

In addition, Thai and English versions of the company name are required to be provided.

Directors and Shareholders

A limited liability company shall have at least three shareholders, which may be natural persons or legal entities. A branch office or representative office requires a minimum of two shareholders;

Foreign nationals are allowed to be shareholders. Nevertheless, if a foreign‑funded enterprise engages in restricted businesses, no fewer than one Thai shareholder shall hold more than 51% of the shares;

At least one director is required, who can be a foreign national. For foreign‑funded companies, however, there must be at least one Thai director.

Registered Capital

Minimum registered capital: the minimum registered capital for a limited liability company is 1 million Thai Baht (approximately 30,000 US dollars), while a registered capital of 3 million Thai Baht is required for engaging in restricted businesses;

Payment of registered capital: the registered capital shall be paid in full upon registration or contributed in phases according to the actual operation of the company, with a specified proportion paid as the first installment.

Registered Address
The company must provide a physical registered address within Thailand, which will be used to receive official government documents and communicate with clients.

Business scope

The company’s business scope shall be specified during registration and comply with relevant Thai laws and regulations.

For operations in special industries such as finance, telecommunications and medical services, corresponding licenses shall be obtained additionally.

Partnership
There shall be at least one promoter, who bears unlimited joint and several liability for the company's debts.

Limited Partnership
It consists of limited partners and unlimited liability partners, and each category of partners may be composed of one or more individuals. A limited partnership must be registered in accordance with the law.

Limited Company

Limited companies are further divided into private limited companies and public limited companies.

A private limited company shall have a minimum of two promoters, along with at least one legal representative and one auditor.

A public limited company requires no fewer than fifteen promoters, and shares held by promoters can only be transferred two years after the company commences operation.

Among the two types, the private limited company is analogous to China’s limited liability company. It is the most widely adopted corporate form in Thailand and the top choice for foreign investors.

REGISTRATION PROCESS

    Prepare registration documents

    A complete set of detailed registration documents shall be prepared, including the Articles of Association, lists of directors and shareholders, registered address of the company and other relevant information.

    All these documents shall be drafted and compiled in compliance with applicable Thai laws and regulations.

    Company name pre‑approval

    Prepare no fewer than three alternative company names, which may be registered in Thai, Chinese and English simultaneously. You need to apply for approval from Thailand’s Department of Business Development to confirm that the names are available.

    The Ministry of Commerce processes applications in the order of submission, and name approval usually takes 2 to 3 working days.

    Prepare the Articles of Association

    In accordance with the provisions of Thailand’s Company Act, draw up the Articles of Association to specify contents such as the company’s business scope and shareholders’ rights and interests.

    Identify shareholders and authorized signatories of the company

    Shareholders: Each company must be established with a minimum of two individual promoters serving as shareholders, each holding at least one share. The two promoters are required to sign relevant documents during the registration procedure;

    Authorized signatories: The signing authority may be set in forms including single signature by one authorized signatory, or joint signatures by two or three authorized signatories to validate official documents;

    Collection of business license: Collect the Thai corporate business license within the specified time limit.

    Design the official company seal

    After the company seal is designed and manufactured, it shall be registered and filed together with the company registration documents submitted to the Department of Business Development.

    The filed seal shall not be altered or replaced arbitrarily. Any modification requires a new filing application submitted to the Department of Business Development.

    Submit the registration application

    Submit the prepared documents to the Department of Business Development of Thailand for approval. Supplementary or revised documents may be requested when necessary.

    The materials include the Articles of Association, register of shareholders, business scope and share allocation among shareholders.

    Obtain the business license

    After the approval is passed, go to the Department of Business Development to collect the company’s business license.

    The business license serves as the certificate for the company’s legal operation, stating information such as the company’s name, entity type, registered address, business scope and registered capital.

    Tax registration

    Complete tax registration at Thailand’s Revenue Department within 30 days after obtaining the business license.

    Submit the tax registration application along with relevant materials including the company’s business license, Articles of Association, and identity certificates of shareholders and directors.

    The Revenue Department will issue a Tax Identification Number (TIN), which is used for tax declaration and tax payment.

    Open a corporate bank account

    Open a corporate bank account in Thailand with the company’s business license and Tax Identification Number.

    Select a suitable bank, fill in the account opening application form, and submit relevant documents such as the business license, Tax Identification Number, Articles of Association, and identity certificates of shareholders and directors.

    The bank will review the application, and the corporate bank account will be available once the review is approved.
