Shareholders and Directors

There shall be no less than one shareholder (nationality not restricted) and no less than one director;

At least one director or manager must hold a Saudi visa and residence permit.

Company Name

1. Saudi company name. The English name shall be consistent with its Arabic counterpart, e.g. TechGulf LLC، شركة التقنية الخليجية ذات المسؤولية المحدودة.

2. Prohibited / Special‑approval‑required terms: Terms such as "مكة" (Makkah), "الملكية" (Royal), "عالمية" (Global) require special official approval. Names offending Islamic values or public order are forbidden. It is recommended to avoid complicated abbreviations (e.g. “G.T.Corp”) or numerals such as 1, 2, 3. Full‑form names are preferred in Saudi Arabia.

Registered Address
A physical registered address in Saudi Arabia is required. There is no requirement for actual office premises, and our company can provide registered‑address hosting services.

Registered Capital

1. For companies engaged in service or manufacturing activities, there is no statutory minimum share capital. A capital of SAR 500,000 is recommended. The requirement for paid‑in capital shall be subject to the business nature of the company.

2. Trading companies shall have a minimum registered capital of SAR 20,000,000 (approximately RMB 55 million), which shall be fully paid‑in within one year.

Appoint a General Manager
A general manager must be appointed as the local signatory for all relevant government authorities and corporate bank accounts. Such individual shall hold a Saudi visa and residence permit and is required to stay in Saudi Arabia for at least two weeks.

Entity Type for Registration

1. Where a corporate entity acts as the shareholder for registration, the parent entity must have been in operation for at least one year.

2. For the registration of a trading company, the corporate parent (direct corporate shareholder of the Saudi company) shall own two or more foreign subsidiaries incorporated in different jurisdictions, each established for no less than one year. Relevant registration documents and the previous‑year audit reports of such subsidiaries shall be submitted. There are no requirements regarding the business activities or profitability of these subsidiaries.

Open a corporate bank account

1. The client shall provide a Saudi‑representation Power of Attorney and no local visit is required. If no power of attorney is issued, the client shall travel to Saudi Arabia in person for corporate bank‑account opening.

2. Monthly withholding‑tax filing, quarterly VAT filing and annual audit are mandatory.

Limited Liability Company (LLC)

This is the most commonly‑established corporate entity in the Kingdom of Saudi Arabia and suitable for small‑and‑medium‑sized enterprises.

It requires a minimum of 1 shareholder and a maximum of 50 shareholders. Shareholders’ liability shall be limited to their respective capital contributions. Public share offering is not permitted.

Joint‑Stock Company (JSC)

1. Suitable for larger enterprises and entities planning to go public.

Public share‑raising is permitted. It requires a minimum of two shareholders with no upper limit on the number of shareholders. A board of directors with no fewer than three directors shall be set up. Financial audit and reporting are mandatory requirements.

Branch Office

It applies to representative offices established in Saudi Arabia by foreign companies. There is no minimum‑capital requirement, yet a guarantee from the parent company is mandatory.

Representative Office

The entity shall focus on market research, liaison and promotion activities and shall not directly engage in commercial sales or other operational business activities.

Partnership

Suitable for cooperation among professionals. It is divided into General Partnership (unlimited liability) and Limited Partnership (limited‑liability partners).

Sole proprietorship with unlimited liability, suitable for individual businesses and micro‑enterprises.

Individual Shareholder

1. Business license and Articles of Association of the parent company;

2. Audited financial statements for the previous fiscal year (profitability required);

3. Two or more foreign subsidiaries incorporated in different countries. Their registration documents and prior‑year audit reports shall be provided. No requirements apply to the subsidiaries’ business activities or profitability. ‑ Required for Saudi trading‑company registration;

4. Board resolution;

5. Complete equity structure chart of the proposed new company;

6. Scanned passport copies and proof‑of‑address documents for the legal representative / directors of the corporate shareholder (utility bills for water, electricity and gas or bank / credit‑card statements showing the address issued within the latest three months).

Note: All the above documents shall go through notarisation and obtain an Apostille.

REGISTRATION PROCESS

    Pre‑registration Preparation

    The client confirms the entity type and business scope.

    The client prepares required documents which shall be notarised and obtain an Apostille (to be processed either by our company or the client).

    Our lawyers draft documents including the power of attorney, which also require notarisation and Apostille certification (to be processed either by our company or the client).

    Submit an application for the investment licence to MISA (Ministry of Investment of Saudi Arabia).

    For foreign investors, registration application must be submitted to the Saudi Ministry of Investment (MISA). This step will grant the foreign‑investment licence.

    Registration with the Ministry of Commerce (MOC, Ministry of Commerce and Industry, Saudi Arabia)

    The company shall complete registration at the Ministry of Commerce (MOC), submit necessary documents and pay relevant statutory fees.

    Company name availability check

    The enterprise shall select a proper company name and ensure that such name is not previously registered or occupied in Saudi Arabia. The selected name shall comply with Saudi legal requirements and shall not contain any prohibited content.

    Draft and notarise the Articles of Association

    The Articles of Association shall specify key clauses including the full corporate name, registered address, detailed business scope, amount of registered capital, information of all shareholders, equity structure, and the appointed general manager together with his authorities. The draft articles shall be duly notarised by a local notary public in Saudi Arabia.

    Apply for the Commercial Registration (CR)

    Submit the notarised Articles of Association and other registration‑application documents to the Saudi Ministry of Commerce. Upon regulatory approval, the Commercial Registration (CR) certificate shall be issued.

    Tax Registration

    Register for VAT (Value‑Added Tax, statutory rate of 15%) and obtain the corporate TIN (Tax Identification Number) at ZATCA (Saudi General Authority for Zakat and Tax).
