Private limited companies are the commonly registered type, whose names generally consist of a trade name, business sector and the suffix Sdn. Bhd.

Shareholders and Directors
There shall be at least one shareholder, which may be an individual or a corporate entity. From the compliance perspective, investment via a corporate entity is recommended together with completion of overseas investment filing procedures. Two or more directors are required, among whom at least one shall be a local resident of Malaysia or a foreign national holding a Malaysian visa valid for no less than six months.

The registered capital is normally 1,000 Malaysian Ringgit. No paid‑in capital is required upon incorporation, yet it is advisable to inject the capital promptly after opening a corporate bank account. For businesses engaged in import and export or special industries such as finance, a higher amount of paid‑in capital may be mandatory.

A physical address in Malaysia is mandatory as the registered office location, for which a tenancy agreement or property ownership certificate shall be furnished.

Private Limited Company
This is the most prevalent type of company in Malaysia. It allows a maximum of 50 shareholders and possesses independent legal person status. Shareholders shall be liable for the company’s obligations up to the amount of their subscribed capital contributions. Company names conventionally end with “SDN. BHD.” or “Sendirian Berhad”.

If only one person acts as both director and shareholder, such individual shall bear unlimited liability, and statutory audit is not required.

REGISTRATION PROCESS

    Company name search and approval

    First, you shall finalize the company name and inquire about its availability with the Companies Commission of Malaysia (SSM). The proposed name must not be identical or similar to any registered corporate name, nor may it contain certain restricted words. An approved name remains valid for three months, within which the company incorporation procedures shall be completed.

    Preparation of registration documents

    Fill out company registration forms such as Form 13A, and provide personal information of shareholders and directors including full names, identity card numbers (for Malaysian citizens) or passport numbers (for foreign nationals), residential addresses and other details. Meanwhile, the Memorandum and Articles of Association shall be prepared, covering key clauses such as business scopes as well as the rights and obligations of shareholders.

    Submit the registration application

    Submit the prepared registration documents and relevant materials to SSM either online or offline. Provided that the application documents are complete and compliant with requirements, SSM generally finishes the incorporation approval within 3 to 5 working days.

    Upon approval of the registration application, the Certificate of Incorporation will be issued.
