Prior to formal registration, company name reservation is required. Three alternative names shall be provided for name availability search.

Shareholders and Directors
A minimum of one shareholder is required with no nationality restrictions, alongside one local resident director. If the shareholder is a mainland Chinese enterprise, ODI (Overseas Direct Investment) filing and approval must be obtained in advance.

Registered Capital
There is generally no statutory minimum share capital requirement for a Private Limited Company. A recommended minimum capital of 100,000 Kenyan Shillings applies, and paid-up capital is not mandatory.

1. The company’s Business Registration Certificate and Articles of Association shall undergo dual authentication;

4. Scanned passports, passport-sized photos and address proof (utility bills or credit card statements issued within the past three months) of the legal representative of the corporate shareholder, directors of the Kenyan company and ultimate beneficial owners.
