Company Name

The naming restrictions for registering a company in China's Hong Kong are not particularly stringent. As long as a name search confirms no identical existing names, the following three conditions must be met:

1. The company name may be in a mix of Chinese and English, or entirely in English, but it cannot be solely in Chinese characters.

2. The company name must end with "有限公司" or "Limited".

3. The company name should avoid sensitive words such as "Royal", "Bank", "China", etc. Any terms relating to municipal affairs require prior consent from the Chief Executive of the Hong Kong Special Administrative Region Government.

Shareholders and Directors

A company in China's Hong Kong must have at least one shareholder and at least one director. However, the shareholder and director may be the same entity.

That entity may be a natural person, with no nationality restrictions, but must be at least 18 years old and not an undischarged bankrupt or a person of unsound mind. Alternatively, the entity may be a legal person (corporation).

Where a natural person acts as shareholder or director, valid personal identification documents and proof of address must be submitted. Where a legal person acts as shareholder or director, the company registration documents and the identity information of the legal person's directors are required.

Registered Capital

The registered capital requirement for a company in China's Hong Kong differs from that in mainland China. It does not need to be shown on the certificate of incorporation, nor does it require actual contribution, capital verification, or any special provisions.

The registered capital is typically set at HKD 10,000. If it exceeds this amount, a stamp duty of 0.26% (2.6 per 1,000) will be levied on the excess portion.

Although no actual contribution is required at the time of registration, if the company becomes involved in debt repayment obligations, the registered capital may be required to be fully paid up.

Registered Address

For company registration in China's Hong Kong, a registered address within the HKSAR jurisdiction is required (not a P.O. box or director's address; may be a secretarial company address). This address is used to receive government and bank correspondence.
