Company Name
Naming rules for Cyprus companies are relatively flexible, and company names generally end with "Limited".

Shareholders and Directors
A minimum of one shareholder and one director is required, with no nationality restrictions applicable to either.

Registered Capital
There is no statutory minimum share capital requirement. A capital of EUR 1,000 to EUR 2,000 or above is recommended, and paid-up capital is not mandatory.

Registered Address
A local registered address in Cyprus is required (our firm can provide this address). It is solely for registration purposes and cannot be used as an operational office.

Company Secretary
A statutory secretary is mandatory, who can be either an individual or a legal entity. There is no requirement for the secretary to be a local resident. Where there is only one director, such director cannot concurrently hold the position of secretary. Our firm can provide secretarial services upon request.

Business Scope
There are no special general restrictions. Restrictions only apply to regulated sectors such as banking, insurance, trusts and other licensed businesses.

Limited Liability Company (LTD)
A Private Limited Liability Company (Ltd) is the most common corporate structure in Cyprus. This entity requires a minimum of one shareholder and one director, and shareholders’ liability for corporate debts is limited to the value of their shareholdings. An Ltd is prohibited from offering shares to the public and subject to restrictions on share transfers. Featuring a simple structure and flexible operation, it suits the majority of businesses.

Public Limited Company(PLC)
A Public Limited Company (PLC) is a type of corporate entity permitted to offer shares to the public. A PLC requires a minimum of seven shareholders and two directors, and its shares may be traded on exchanges in Cyprus or other jurisdictions. PLCs are subject to stricter disclosure and compliance obligations and generally incur higher operational costs.
