Shareholders and Directors

The company may have 2 to 50 shareholders, who can be foreign natural persons or legal entities, and 100% foreign ownership is permitted. Nevertheless, for industries including mining, petroleum and construction, at least one Zambian local shareholder holding over 10% equity is mandatory;

A minimum of two directors shall be appointed, at least half of whom shall be resident in Zambia and hold Zambian nationality. If the company appoints a Chinese director, one local Zambian director is required accordingly.

Registered Capital
The minimum registered capital requirement is 15,000 Kwacha (approximately USD 900), consisting of a minimum of 15,000 shares. Paid-up share capital may be required for certain special industries.

Registered Address
A valid registered address within Zambia is required for the company.

Company Secretary
The company must appoint a secretary, who may be a local individual or a corporate entity.

Notarization and Authentication
All documents submitted for company registration must be notarized and translated into English. Zambia is not a member state of the Hague Apostille Convention.

Other Requirements
Sector-specific permits may be required subject to the company’s line of business. For instance, enterprises operating in mining, petroleum and construction sectors must meet the statutory shareholding threshold for Zambian local shareholders.

Private Limited Company (Ltd)
A Private Limited Company refers to a registered enterprise established and owned by individuals, whose name generally ends with "Limited". It requires a minimum of two directors and two shareholders, and public subscription of its shares or debentures is prohibited. Private Limited Companies fall into three sub-types: companies limited by shares, companies limited by guarantee and unlimited companies.

Public Limited Company(Plc)
A Public Limited Company shall state its status as a public limited company in its Memorandum and Articles of Association, and its name shall generally end with "Public Limited Company" (abbreviated as PLC), with a minimum share capital of 1,000,000 Kwacha.

2. Identity documents (scanned copies of both sides of ID card and passport) and address proof (utility bills or bank statements issued within the past three months) of the company’s legal representative;

3. Complete equity structure diagram;

4. Identity documents (scanned copies of both sides of ID card and passport) and address proof (utility bills or bank statements issued within the past three months) of the directors of the Zambian company.

REGISTRATION PROCESS

    Prepare registration documents

    Collect information including company name, registered address, details of shareholders and directors, business scope and other relevant particulars.

    Company name availability check

    At least three alternative company names shall be submitted for pre-clearance to ensure the selected name is legally available and not registered by other entities in Zambia.

    Submit the registration application

    Submit the registration application together with all prepared documents to the Zambia Investment Authority and pay the corresponding registration fees.

    Company Registration License

    Upon successful application, you will be issued a Company Registration License, signifying the formal establishment of the company.

    Tax registration and TIN application

    After the company is incorporated, complete tax registration to obtain a Tax Identification Number (TIN) to ensure lawful business operation.
