Registered Capital
There is no statutory minimum share capital requirement for a Limited Liability Company. However, our firm recommends a minimum of 10,000 MAD to facilitate the justification of foreign investment. Under legal provisions, one quarter of the capital must be deposited upon company incorporation, with the remaining portion payable within three years.

Shareholders and Directors
A minimum of one director (no nationality restrictions) and one shareholder (no nationality restrictions) are required, who can be either an individual or a corporate entity. It should be noted that individual investors from Chinese mainland are not permitted to conduct overseas investments. If a mainland Chinese enterprise intends to invest overseas, it must complete the ODI (Overseas Direct Investment) filing.

Limited Liability Company (SARL)
This is the most prevalent business structure suitable for most small and medium-sized enterprises. It requires a minimum registered share capital of 10,000 Moroccan Dirhams, with the number of shareholders restricted between 2 and 50.

Public Limited Company(SA)
It is suitable for large-scale enterprises with a minimum registered capital of 300,000 Moroccan Dirhams and a minimum of five shareholders. This type of company is fit for public share offerings and large-scale investment activities.

Foreign companies may set up branches in Morocco with no minimum capital payment obligation, yet their operations shall be based on the total registered capital of the parent company.

This office type is designed for market research and business liaison purposes only. No sales activities are permitted, and there is no requirement for registered capital.

Notes
The identity documents of shareholders and directors shall be notarized and authenticated or undergo Hague Apostille. The exact list of required documents shall be confirmed upon order placement.
