Company Name
There is great flexibility for naming a registered company in Germany, and the corporate name must end with "GmbH", for example ABC GmbH. Any wording not restricted by the German government can be used in the company name. German authorities permit names containing words such as International, Group, Holding, Industrial, Investment, College, Association, Center, Foundation and Research Institute, provided that the company carries out corresponding actual business operations.

Registered Capital
The standard minimum share capital is 25,000 Euros, and at least half of the capital must be deposited prior to registration.

Limited Liability Company(GmbH)
This is the most common entity type suitable for small and medium-sized enterprises. Shareholders’ liability is limited to the share capital, with a minimum registered capital of EUR 25,000, of which at least EUR 12,500 must be paid up. GmbH features high operational flexibility, and shareholders shall not bear personal liability to third parties.

Stock Corporation(AG)
This form suits large enterprises, with a minimum registered capital of 50,000 Euros. An AG may be listed and traded on stock exchanges. Shareholders are liable to the company only to the extent of their subscribed shares. An AG is required to establish a management board and a supervisory board, and its accounts must be reviewed by a statutory auditor.

Sole Proprietorship(Einzelunternehmen)
It is suitable for freelancers and micro entrepreneurs, with no requirement for registered capital, and the operator bears unlimited liability.

Partnership(GbR/OHG/KG)
It includes civil partnership (GbR), general partnership (OHG) and limited partnership (KG). All these types are subject to commercial registration, and partners bear unlimited liability, suitable for small enterprises and start-ups in the initial stage.

Subsidiary Company
It enjoys independent business operation rights, established and fully controlled by its parent company.

Representative Office
It does not have independent legal personality and is not permitted to conduct commercial operations, yet it can maintain contacts between the company and German business partners.
