Company Name
Company names must be approved by the Department of Commercial Registration, and one or two alternative names shall be prepared. Meanwhile, the company name shall be presented in both English and Khmer.

Shareholders and Directors
A minimum of two shareholders and one director is required with no nationality restrictions.

Registered Capital
The minimum registered capital is 4 million KHR (approximately USD 1,000). For medium‑sized taxpayers, a minimum registered capital of USD 10,000 is recommended, except for special industries.

Registered Address
Provide the original certified house lease contract, which shall be bilingual in English‑Khmer or Chinese‑Khmer.

Corporate Bank Account Opening
Before company registration commences, a local bank account needs to be opened. The incorporated company shall open one or more bank accounts with banks within Cambodia, deposit the initial capital into such accounts, and submit bank statements to the online system within 15 working days after obtaining the business license.

Sole Proprietorship / General Partnership
Sole proprietorships and General partnerships are commonly adopted by small businesses such as restaurants and bars. They are usually operated by the owners, who bear full liability for all corporate debts.

Private Limited Company
It is a common business structure. In most jurisdictions, a Cambodian limited liability company is regarded as a distinct legal entity capable of owning property and entering into contracts, and it is subject to property tax, income tax, sales tax and various other taxes. Shareholders of a Cambodian limited liability company are not personally liable for the company’s debts in general, and their liability is capped only at the scope of their investments (or the capital they have undertaken to contribute). Limited liability companies in Cambodia fall into two categories: private limited companies and public limited companies. The distinction lies in that public limited companies are permitted to issue shares to the general public.

Foreign‑Invested Enterprise
Foreign investors conducting business in Cambodia usually choose to set up representative offices, branches or subsidiaries. Representative offices and branches function as agencies of their overseas parent companies and do not possess independent legal personality.

REGISTRATION PROCESS

    Carry out name verification to select a suitable company name, which shall then be approved by the Department of Commercial Registration.

    Register the company at the Department of Commercial Registration; Register the company seal.

    Open a bank account in the company's name and deposit the required startup capital.

    Official Approval and Tax Registration

    Affix official seals, approve the Articles of Association and other registration documents, and complete registration for Value‑Added Tax, patent tax and tax identification number.
