Limited Liability Company(Sociedad de Responsabilidad Limitada, S.L.)
Private Limited Company, abbreviated as S.L. or S.R.L., whose full Spanish name is Sociedad de Responsabilidad Limitada. It is Spain’s private limited liability enterprise. An S.L. is an independent legal entity, and its shareholders bear no personal liability for the company’s debts. To set up an S.L. in Spain, you are required to draft and notarize the company articles of association, as well as fully pay the minimum share capital of 3,000 Euros.

Public Limited Company(Sociedad Anónima, S.A.)
Joint-stock companies are suitable for large enterprises, especially those planning to list on the stock exchange. Shares of such companies can be publicly traded, and shareholders’ liability is limited to the value of their shareholdings.

Requirements: They generally impose stricter standards on registered capital, the number of shareholders and corporate governance structures.

Branch Office(Sucursal)
This structure is suitable for foreign companies to set up branches in Spain. A branch is an extension of the parent foreign company within Spain and generally enjoys the same rights and assumes the same obligations as its parent.

Notes: The operation of a branch shall comply with Spanish laws and regulations, and additional documents and reports may be required for submission.

Representative offices generally serve as liaison hubs for foreign-involved enterprises and are prohibited from engaging in any economic activities. They are mainly used to build the company’s market presence in Spain and facilitate business communications.
