Company Name
A company name search and approval must be completed prior to company incorporation. The proposed name shall not be identical or confusingly similar to any existing registered company names, and no names that may trigger market disputes are permitted. Furthermore, prior approval from relevant government authorities or organizations is required for business entities involving regulated sectors such as banking, insurance, education, associations and holding groups.

Shareholders and Directors
There are no nationality restrictions for shareholders of Irish companies, with a minimum of one shareholder required. A minimum of two directors shall be appointed, at least one of whom must be a resident of the European Economic Area (EEA).

Registered Capital
The minimum subscribed share capital for an Irish company is 100 euros. There is no mandatory minimum paid-in capital requirement, and full capital injection is not compulsory.

Registered Address
A valid registered address is mandatory for Irish company registration, which our firm is able to provide.

Company Secretary
A statutory company secretary is mandatory, who can be either an individual or a corporate entity.

Business Scope
In principle, there are few restrictions on the business scope of Irish companies. Enterprises may engage in any lawful business activities. Special approval is required for regulated sectors such as banking and insurance.

All documents mentioned above, excluding financial statements and documents of individual shareholders holding 25% or more shares, shall undergo notarization and apostille certification.

Sign the incorporation documents

1. Form A1, which contains a statutory declaration stating that the company will carry out business activities in Ireland and comply with Irish laws. This form shall be signed by directors, the company secretary or majority shareholders;

2. Memorandum of Association, to be signed by the majority shareholders;

3. Articles of Association, also signed by the majority shareholders.

REGISTRATION PROCESS

    Fill out the company incorporation application form

    The application form mainly covers the company name, registered address, details of the company secretary and directors (including place of birth, nationality, occupation, residential address and signatures), registered capital, statutory declarations and other clauses.

    Provide three company names for name search; additional alternatives can be supplied for further verification.

    Prepare documents required for company registration

    Scanned copies of passports or identity documents of shareholders and directors;

    Scanned English-language proof of address (utility bills or bank statements);

    Where the shareholder is a corporate entity, certified scanned copy of its company registration certificate shall be provided.

    Draft the Memorandum and Articles of Association

    The Memorandum of Association governs the company’s external relations, mainly including clauses concerning the company name, business objects, company nature, and share capital structure. The Articles of Association regulate the company’s internal affairs, including the issuance and transfer of shares, appointment and removal of directors, procedural rules for general meetings and board meetings, dividend distribution and other internal management matters. All documents must comply with the official form requirements, be printed in clear font, arranged in separate paragraphs, and maintain consistent item labelling throughout.
