Shareholders and Directors
A minimum of one shareholder is allowed, who may be a natural person or a legal entity with no nationality restrictions. At least one director is required, and there are no nationality requirements for directors.

Limited Liability Company
It is the most commonly chosen entity type, with 1 to 50 shareholders. There is no statutory minimum share capital, yet a minimum of approximately 1,000 Tunisian Dinars is recommended in practice. A SARL must appoint at least one director, who can be a foreign national aged over 18.

Joint Stock Company(SA)
It is suitable for large-scale projects, requiring a minimum of seven shareholders and a board consisting of no fewer than three directors. For unlisted SA companies, the minimum share capital is 5,000 Tunisian Dinars, of which at least 25% shall be paid up upon incorporation and the remainder settled within five years. A minimum capital of over 50,000 Dinars is required if the company intends to offer shares to the public. Foreign investors are permitted to hold 100% equity. Nevertheless, for certain specific sectors such as selected commercial services, approval from the Higher Investment Commission is mandatory where foreign shareholding exceeds 49%.

Representative Office
It only engages in liaison and market research activities and shall not carry out profit-generating business operations.

Branch Office
It does not possess separate legal personality and is treated as the same legal entity as its parent company. Branches are not eligible for the tax incentives offered under Tunisia’s Investment Code.
