Company Name
A proposed Macao company name may be formulated in Chinese only, Portuguese only, both Chinese and Portuguese, or Chinese, English and Portuguese. For a Macao company with two or more shareholders, its name shall end with the Portuguese suffix “Lda.” or the Chinese term “有限公司 (Limited Company)”. For a single‑shareholder company, the name shall end with the Portuguese expression “Sociedade Unipessoal Lda” and the Chinese designation “一人有限公司 (One‑Person Limited Company)”. Duplicate company names are prohibited. In accordance with the Commercial Code, English may be included in the company name only when the name is presented in three languages: Chinese, English and Portuguese.

Two shareholders are required, who may be natural persons or legal entities. A minimum of two directors shall be appointed, and local resident directors are not mandatory.

Registered Capital
The minimum registered capital is MOP 25,000 with no upper limit, and paid‑in capital is not required. Stamp duty shall be paid additionally if the registered capital exceeds MOP 25,000.

Business Scope
Macao companies are basically unrestricted in business scope. Only a handful of industries such as finance and gaming require special approval. Certain special sectors also demand administrative licences, including employment agencies and training centres.

Registered Address
A Macao‑registered company must maintain a registered address within Macao. A tenancy agreement is not required for the registered address, yet the Financial Services Bureau will conduct an opening‑of‑business inspection and the Statistics Bureau will carry out statistical surveys.

Sociedade em Nome Colectivo (S.N.C)
There shall be two or more shareholders, who bear joint and several unlimited liability for the company’s debts. There is no upper limit on registered capital, making this form suitable for partnership‑style enterprises.

Sociedade em Comandita(S.C.)
It is divided into ordinary limited partnerships (comprising general partners with unlimited liability and limited partners) and partnership limited by shares (structured in the form of shares). An ordinary limited partnership requires at least one general partner with unlimited liability and one limited partner, with no upper or lower limits on registered capital. A partnership limited by shares shall have no fewer than one general partner with unlimited liability and three limited partners, and its minimum registered capital is MOP 1,000,000.

Sociedade por Quotas, Limitada
It is the most common corporate form. Shareholders are liable for corporate debts within the scope of their capital contributions. The number of shareholders shall be no less than two; if there is only one shareholder, the company name shall end with “One‑Person Limited Company”. When there are more than ten shareholders, a Macao resident shall be appointed as the company secretary and a local Macao auditor as the supervisor. The minimum registered capital is MOP 25,000 with no upper limit, making this form ideal for small and medium‑sized enterprises.

Sociedade Anónima (S.A.)
This corporate form suits large‑scale enterprises, and shareholders bear liabilities limited to their shareholdings. There shall be no fewer than three shareholders, with a minimum registered capital of MOP 1,000,000. A supervisor must be appointed from among Macao local auditors (the counterpart of certified public accountants in mainland China).
