Company Name
First, a company name shall be selected and checked via the Belgian Business Crossroads Bank (Banque Carrefour des Entreprises, BCE) to confirm that the name has not been registered by others.

Shareholders and Directors
A minimum of one shareholder is required, with no nationality restrictions; shareholders can be natural persons or legal entities. At least one director must be appointed, who shall be a local resident of Belgium.

Registered Capital
The minimum share capital for a private limited liability company (BVBA / SPRL) in Belgium is determined in accordance with the business plan of the newly incorporated Belgian firm.

The company must have a registered address located in Belgium.

Matters including business scope, share capital and shareholders' rights shall be clearly defined and notarized by a notary public.

Private Limited Liability Company ( BVBA/SPRL)
The private limited liability company is the most popular business form. Its minimum authorised share capital is EUR 18,550, which must be fully paid up prior to incorporation. Where there is a sole shareholder, a minimum paid-in capital of EUR 12,400 is required; for two or more shareholders, only EUR 6,200 needs to be paid up.

Public Limited Company(NV/SA)
This type of entity is generally chosen by large corporations, as its minimum share capital is substantially higher than that of a private limited company, standing at a minimum of EUR 61,500. At least 25% of the share capital must be paid up prior to incorporation. A public limited company shall appoint a minimum of three directors to manage the business; only two directors are required if there are merely one or two shareholders.
