2. Company Registration Submission

3. IRD Tax Number Application


CHYIELD assisted the client's local director in applying for the IRD tax number for tax filing, bank account opening, and cross-border payments. The process took approximately 1 month.


New Zealand Company Compliance Considerations


1. Name Approval Rules


Official company name review is conducted by the authority after registration submission, not pre-approved.


2. Local Director Requirement


IRD tax number must be applied for using a New Zealand local director's identity. The director must be confirmed before registration. A local director is also a prerequisite for bank account opening. Additional Chinese directors may be added after account opening.


3. Business Scope Specifications


A detailed business scope must be provided and matched with the official NZBN industry code (e.g., dairy trading must correspond to trade or wholesale codes).


4. Annual Compliance Deadline


The annual return deadline is within 1 month after the registration anniversary. For example, a company registered on 5 March 2025 must file by 30 April 2026. The exact date is subject to the official AR Filing Month.


Late filing may result in company deregistration. Reinstatement requires submission of operational records and a letter of explanation.


5. Tax Filing Schedule


Financial year end: 31 March


Self-filing: Tax return due by 7 July of the same year; tax payment due by 7 February of the following year.


With accountant assistance: Filing may be extended to 31 March of the following year with payment due by 7 April.


Zero returns are also required; otherwise penalties and late fees apply.


Examples:


For a company registered in February 2026, if the client handles filing independently, the tax return and financial statements are due by 7 July 2026, with tax payment due by 7 February 2027.

For a company registered in April 2026, if the client handles filing independently, the tax return and financial statements are due by 7 July 2027, with tax payment due by 7 February 2028.
